I think it's ok, unless your tracing it or copy everything. It's ok to use a photo just for reference.

No it's not ok :), for a designer editing is ok, yes! but for selling edited file for any reason they should have extended license or special permission.
Just to let you know. The copyright law for these kind of selling stuff is Not a joke.
